1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between Bridge-it, Inc. ("Bridge-it," "we," "us," or "our") and you ("User," "you," or "your") governing your access to and use of the Bridge-it website and platform located at https://bridge-it.ai (collectively, the "Platform").
By accessing or using the Platform — whether as a student, parent, educator, school counselor, school administrator, or other visitor — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a school, school district, or other institution, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must immediately discontinue all use of the Platform.
2. Eligibility and Account Registration
2.1 Eligibility
The Platform is intended for use by:
- Middle and high school students in the United States ("Students")
- Parents and legal guardians of Students ("Parents")
- Teachers, school counselors, and other educational staff ("Educators")
- School districts and institutions that have entered into a written agreement with Bridge-it ("Partner Institutions")
Students under the age of 13 may only access the Platform through a school or district that has established an account on their behalf, with appropriate parental consent obtained as required by applicable law.
2.2 Account Creation
To access certain features of the Platform, you must create an account or be provisioned one by your school or district. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.
You must notify Bridge-it immediately at the contact address in Section 17 if you suspect any unauthorized access to or use of your account.
2.3 School and District Accounts
Access for Students and Educators is typically provisioned through Partner Institutions. The school or district is responsible for ensuring that its users comply with these Terms and that appropriate consents, authorizations, and data-privacy agreements are in place before granting access to Students.
3. Description of the Platform
Bridge-it is an AI-powered career readiness and guidance platform designed to support middle and high school students in exploring careers, building personalized career pathways, tracking academic and extracurricular experiences, and preparing for post-secondary opportunities. The Platform offers, among other features:
- Personalized career pathway recommendations powered by artificial intelligence
- Career and lifestyle comparison tools using real-world labor-market and cost-of-living data
- Goal-setting, progress tracking, and experience management tools
- A skills directory covering soft skills, technical skills, and micro-credentials
- A resource hub including career supports, scholarships, and career guides
- Educator and counselor dashboards for monitoring student engagement and readiness
- Parent visibility into summarized student milestones (subject to school configuration)
- AI co-pilot functionality to assist students in navigating the Platform and building plans
- SIS and LMS integrations for roster syncing and single sign-on
Bridge-it reserves the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time with reasonable notice to Partner Institutions.
4. Acceptable Use
4.1 Permitted Use
You may use the Platform solely for its intended educational and career-readiness purposes, in accordance with these Terms and all applicable laws and regulations.
4.2 Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable local, state, or federal law or regulation
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Access another user's account without authorization
- Upload, post, or transmit any content that is false, misleading, defamatory, obscene, harmful to minors, or otherwise objectionable
- Use the Platform to harass, threaten, intimidate, or harm any other user
- Attempt to gain unauthorized access to any portion of the Platform or its related systems or networks
- Use automated tools (bots, scrapers, crawlers, etc.) to access, collect, or index any content from the Platform without Bridge-it's express written consent
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform
- Upload or transmit viruses, malware, or any other harmful code
- Interfere with or disrupt the integrity or performance of the Platform
- Use the Platform to advertise or solicit business unrelated to Bridge-it's educational mission
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Platform
5. User Content
5.1 Your Content
The Platform allows users to submit, enter, or upload certain content, including career goals, experience records, reflections, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Bridge-it a limited, non-exclusive, royalty-free license to use, store, display, and process your User Content solely to the extent necessary to operate and improve the Platform and to provide you with the services described herein.
5.2 Student Education Records
To the extent User Content constitutes student education records as defined under FERPA, such content remains subject to the privacy and data-governance provisions of Bridge-it's data-privacy agreement with the relevant school or district and our Privacy Policy. Bridge-it does not claim ownership of student education records.
5.3 Content Standards
You are solely responsible for your User Content. You represent and warrant that your User Content: (a) does not violate any applicable law; (b) does not infringe any third party's intellectual property, privacy, or other rights; and (c) is accurate and not misleading. Bridge-it reserves the right, but has no obligation, to remove User Content that violates these Terms.
6. AI-Powered Features and Limitations
The Platform incorporates artificial intelligence and machine learning features, including career pathway recommendations, the AI co-pilot, and the Career & Lifestyle Comparison Tool. You acknowledge and agree that:
- AI-generated content, recommendations, and insights are provided for informational and educational purposes only. They do not constitute professional career counseling, financial planning, or legal advice.
- AI outputs may not always be accurate, complete, or applicable to your individual circumstances. You should exercise independent judgment and consult qualified professionals when making significant career or educational decisions.
- Bridge-it continually works to improve AI accuracy and fairness but does not guarantee that AI features will be free from errors, biases, or omissions.
- Interactions with the AI co-pilot are logged and may be reviewed by Bridge-it to improve the Platform, subject to the protections described in our Privacy Policy.
7. Third-Party Integrations and Links
The Platform may integrate with third-party Student Information Systems (SIS), Learning Management Systems (LMS), and other services, and may contain links to external websites or resources. Bridge-it does not control and is not responsible for the content, privacy practices, or availability of any third-party services or websites. Your use of any third-party service is governed by that service's own terms and privacy policy.
Bridge-it does not endorse any third-party service, scholarship, employer, or resource referenced on the Platform. References to external opportunities are provided as informational resources only.
8. Intellectual Property
8.1 Bridge-it Ownership
All content, features, functionality, software, text, graphics, logos, icons, images, audio clips, and data compilations on the Platform — excluding User Content and student education records — are owned by or licensed to Bridge-it and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Bridge-it name, logo, and related marks are trademarks of Bridge-it, Inc.
8.2 Limited License to Users
Subject to your compliance with these Terms, Bridge-it grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended educational and career-readiness purposes. This license does not include the right to: (a) reproduce, distribute, or publicly display any Platform content; (b) create derivative works based on Platform content; or (c) use any data mining, robots, or similar data extraction tools on the Platform.
8.3 Feedback
If you submit ideas, suggestions, or other feedback about the Platform ("Feedback"), you grant Bridge-it a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into the Platform or other products without any obligation of compensation or attribution to you.
9. Privacy
Your use of the Platform is also governed by our Privacy Policy, available at /privacy-policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy with respect to privacy matters, the Privacy Policy shall control.
10. Fees and Payment
Access to the Platform for Students and Educators is typically provided through a subscription or agreement between Bridge-it and a Partner Institution. Individual pricing, subscription terms, renewal provisions, and payment obligations are governed by the separate written agreement between Bridge-it and the applicable school or district.
Bridge-it reserves the right to change its pricing and subscription offerings at any time. Any changes to fees applicable to a Partner Institution will be communicated in accordance with the terms of the applicable agreement.
11. Disclaimers of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIDGE-IT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR AI-GENERATED RECOMMENDATIONS ON THE PLATFORM
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIDGE-IT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF BRIDGE-IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIDGE-IT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY THE PARTNER INSTITUTION ON YOUR BEHALF IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bridge-it and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your User Content.
14. Term and Termination
14.1 Term
These Terms remain in effect for as long as you use the Platform or maintain an account with Bridge-it.
14.2 Termination by You
You may terminate your account at any time by contacting your school or district administrator (for institutional accounts) or by contacting Bridge-it directly. Termination of your account does not affect data-retention obligations under FERPA or any applicable data-privacy agreement.
14.3 Termination by Bridge-it
Bridge-it reserves the right to suspend or terminate your access to the Platform, with or without notice, if: (a) you breach any provision of these Terms; (b) required to do so by law; (c) your school or district terminates its agreement with Bridge-it; or (d) Bridge-it discontinues the Platform or a material component thereof.
14.4 Effect of Termination
Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 8, 11, 12, 13, 15, and 16 — shall survive.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the United States and the state in which Bridge-it, Inc. is incorporated, without regard to conflict-of-law principles. For Partner Institutions, the governing law and dispute-resolution provisions of the applicable written agreement shall take precedence.
15.2 Informal Resolution
Before initiating any formal dispute, you agree to contact Bridge-it at the address in Section 17 and attempt to resolve the matter informally for at least thirty (30) days.
15.3 Binding Arbitration
Except as provided in Section 15.4, any dispute, claim, or controversy arising out of or related to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.4 Exceptions
Notwithstanding Section 15.3, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or misuse of confidential information. Partner Institutions may also bring disputes pursuant to the terms of their written agreements with Bridge-it.
15.5 Class Action Waiver
You agree that any arbitration or litigation shall be conducted on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class-action lawsuit or class-wide arbitration.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable data-privacy agreement or subscription agreement between Bridge-it and a Partner Institution, constitute the entire agreement between you and Bridge-it with respect to the Platform and supersede all prior or contemporaneous communications and understandings.
16.2 Amendments
Bridge-it reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the Effective Date above. Continued use of the Platform after the updated Terms take effect constitutes acceptance of the changes. We will provide Partner Institutions with advance notice of material changes as required by their agreements.
16.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
16.4 Waiver
Bridge-it's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Bridge-it.
16.5 Assignment
You may not assign or transfer these Terms or any rights hereunder without Bridge-it's prior written consent. Bridge-it may assign these Terms in connection with a merger, acquisition, or sale of assets, provided that the assignee agrees to be bound by these Terms.
16.6 Force Majeure
Bridge-it shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, or internet or telecommunications failures.
16.7 No Third-Party Beneficiaries
These Terms do not confer any rights or remedies on any third party other than Partner Institutions acting on behalf of their Students.
